ITEM 12 TERRITORY
We grant you the right to operate a Brain Balance® Center at a specific location. If you do not have a location when you sign the Franchise Agreement, then at the time you sign the Franchise Agreement, you will agree to locate your Center within a specified distance from a particular intersection. When you have identified space suitable for a Center you will request approval for this location from us and submit a proposed lease. Once we have approved the location and you have signed the lease with our approval, we will identify that specific location for your Center.
Except as otherwise stated, the disclosures here regarding territory apply equally whether you are opening a standard Brain Balance® Center or a Satellite Center, although you must have a standard Center established before we will consider permitting you to open a Satellite Center.
You will receive an exclusive area that consists of the geographic area within which your Franchised Business must be operated. We will not establish or operate, or franchise any entity to establish or operate, a Brain Balance® Center within a certain radius of your Center (the "Territory"). You and we determine the exclusive area.

What This Means (2025 FDD)
According to Brain Balance's 2025 Franchise Disclosure Document, once a franchisee has identified a location suitable for a Brain Balance center, they must request approval for the location from the franchisor and submit a proposed lease. The franchisor's approval is required both for the location itself and for the lease agreement. Only after the franchisor approves the location and the franchisee signs the lease with the franchisor's approval will the location be officially designated as the franchisee's Brain Balance center.
This process ensures that all Brain Balance centers meet the brand's standards and are strategically located to maximize their potential for success. By requiring franchisees to seek approval for their chosen location and lease terms, Brain Balance maintains control over its brand image and operational consistency. This also protects the franchisee by ensuring the location meets certain criteria outlined by the franchisor.
For a prospective Brain Balance franchisee, this means that finding a suitable location is only the first step. They must also be prepared to present a compelling case for their chosen site and negotiate lease terms that are acceptable to the franchisor. Item 11, as referenced in Item 12, contains more information on site selection criteria. Franchisees should factor in the time it takes to get location and lease approval into their launch timeline, as delays in this process could push back their opening date. Furthermore, franchisees must receive written permission from Brain Balance before relocating their center, and relocation may involve fees and signing a general release if permitted by state law.
