Why is certain training considered a separate performance obligation for Brain Balance franchisees?

Brain_Balance Franchise · 2025 FDD

Answer from 2025 FDD Document

The Company has concluded that certain training is a separate performance obligation due to the nature of the training being non-brand specific and capable of being used by trainees in other businesses. Therefore, initial franchise fees for each agreement are allocated to certain training as described above and the franchise right for each individual franchise. The training revenue is recognized over the term of the training. The franchise right revenue is recognized over the term of the respective franchise agreement beginning on the date the location is opened.

What This Means (2025 FDD)

According to Brain Balance's 2025 Franchise Disclosure Document, certain training provided to franchisees is considered a separate performance obligation because it is not specific to the Brain Balance brand and can be utilized by trainees in other business contexts. This distinction affects how Brain Balance recognizes revenue from initial franchise fees.

Specifically, Brain Balance allocates a portion of the initial franchise fees to this non-brand-specific training. The revenue from this training is recognized over the term of the training period. The remaining portion of the initial franchise fee is allocated to the franchise rights, and the revenue from these rights is recognized over the term of the franchise agreement, starting when the Brain Balance center opens.

This accounting treatment is important for prospective Brain Balance franchisees because it clarifies how the initial franchise fee is utilized and when Brain Balance recognizes the revenue. It also highlights that some of the training provided is general business training, which could be a valuable asset for franchisees even if they were to eventually leave the Brain Balance system. This approach to revenue recognition reflects Brain Balance's obligations to provide both brand-specific and general business training to its franchisees.
