The Application License Agreement requires payment to us of an initial license fee and annual maintenance fees and its term is for the term of the Franchise Agreement. What This Means (2025 FDD)
According to the 2025 Brain Balance Franchise Disclosure Document, franchisees are required to license software/applications for their center by executing an Application License Agreement. This agreement necessitates the payment of both an initial license fee and annual maintenance fees. The software performs administrative functions and collects/transmits customer data to Brain Balance's research facility affiliate. The Application License Agreement covers multiple users at the center. The FDD refers to Items 5 and 6 for the cost of the annual Software Maintenance fees. However, the specific amount of the annual software maintenance fee is not specified in Item 11.
Brain Balance will provide support and maintenance for the proprietary software/application, while franchisees are responsible for their own hardware and communication software maintenance. Upgrades to the software/applications will be provided at no additional cost, and franchisees are required to implement them. Franchisees must also allow Brain Balance access to the software/application and its data, including purchasing, installing, and maintaining appropriate communication hardware and software.
Since the exact amount of the annual software maintenance fee is not listed in Item 11, prospective franchisees should refer to Items 5 and 6 of the 2025 Brain Balance FDD, as suggested by the franchisor. If the fee is not found in those sections, they should directly ask the franchisor for the current annual software maintenance fee to factor it into their initial investment and ongoing operating expenses.
