If there is a dispute over the contents of the Boulder Designs manual, which version controls?

We will loan to you, during the term of the Franchise Agreement, one copy of the Set of Manuals containing reasonable and mandatory specifications, standards, operating procedures and rules prescribed by us for Boulder Designs Businesses and information relative to you other obligations and the operation of a Boulder Designs Business. You must maintain a current, updated copy of the Set of Manuals. If there are any disputes over the contents of the Manual, the terms of the master copy maintained at our headquarters will control. Our interpretations of the provisions of the Manuals are controlling, and you must abide by our interpretations. We will have the right to periodically add to and otherwise modify the Manuals to reflect changes in the specifications, standards, operating procedures and rules required by us for Boulder Designs Businesses.

According to Boulder Designs's 2025 Franchise Disclosure Document, during the term of the Franchise Agreement, Boulder Designs will loan the franchisee one copy of the Set of Manuals. This manual contains the specifications, standards, operating procedures, and rules prescribed by Boulder Designs. Franchisees must maintain a current, updated copy of this manual.
In the event of any disagreement or dispute over the contents of the Boulder Designs manual, the master copy of the manual maintained at Boulder Designs's headquarters will take precedence and control. Furthermore, Boulder Designs's interpretations of the manual's provisions are considered controlling, and franchisees are obligated to adhere to these interpretations.
Boulder Designs retains the right to periodically add to and modify the manuals to reflect changes in the specifications, standards, operating procedures, and rules required for Boulder Designs Businesses. This means that franchisees must stay updated with any changes made to the manual by Boulder Designs, as these changes will be binding.
