What This Means (2024 FDD)

According to Bor Restoration's 2024 Franchise Disclosure Document, Bor Restoration retains all rights not specifically reserved to the franchisee. This means that while a franchisee is granted an exclusive territory, Bor Restoration reserves several rights for itself and its affiliates.

Bor Restoration can operate or franchise similar businesses using the same marks and system outside the franchisee's exclusive territory. They can also use the marks and system to sell products or services through alternative channels of distribution, such as the internet or television, both within and outside the exclusive territory, without compensating the franchisee. The franchisee cannot use these alternative channels without Bor Restoration's express permission. Bor Restoration can also use and license other trademarks and logos that are not confusingly similar to their own, even if they offer similar goods and services.

Furthermore, Bor Restoration has the right to purchase, be purchased by, or merge with any business, including competitors, as long as the resulting entity does not use trademarks confusingly similar to Bor Restoration's. They can also acquire and convert businesses offering similar services, even those operated by competitors or other franchise systems, regardless of location, provided they do not use confusingly similar trademarks. These reservations of rights highlight that the exclusive territory granted to a Bor Restoration franchisee has limitations, and Bor Restoration retains significant control over its brand and business operations.
