What This Means (2025 FDD)
According to Bonchon's 2025 Franchise Disclosure Document, a franchisee must take action to cancel any assumed name or equivalent registration that includes the 'Bonchon' mark, or any other Bonchon proprietary mark or variant, within fifteen days following the termination or expiration of the Franchise Agreement. This requirement ensures that the franchisee ceases to represent themselves as being affiliated with Bonchon after the agreement ends.
If the franchisee fails to cancel the assumed name registration within the specified timeframe, Bonchon has the right to act on behalf of the franchisee to execute the necessary documents for discontinuing the use of the Bonchon name or any related name used under the agreement. The franchisee irrevocably appoints Bonchon as their attorney-in-fact to carry out this action, meaning Bonchon can legally act in the franchisee's name to ensure compliance.
This provision protects Bonchon's brand identity and prevents potential confusion among customers. It also ensures that former franchisees do not continue to benefit from the Bonchon brand's goodwill after their franchise agreement has ended. Franchisees should be aware of this obligation and be prepared to take the necessary steps to cancel any relevant registrations promptly upon termination or expiration of their agreement.
