You fail to maintain and operate your Bonchon Restaurant in a good, clean and sound manner, in strict compliance with our standards for speed, service, quality, cleanliness and maintenance as set forth in our Manuals or otherwise.
You repeatedly fail to comply with one or more requirements of this Franchise Agreement, whether or not corrected after notice.
You operate your franchised Business and/or your Bonchon Restaurant in a fashion that, in our sole judgment, in any way jeopardizes the life, health or safety of the general public, your customers and/or your employees.
If you do so, then not only may we terminate this Agreement upon notice, but you agree that we may either beforehand or concurrently direct you to immediately close your Bonchon Restaurant; you shall immediately comply with such direction (which may be given orally or in writing); and, you shall hold us harmless from and against any claims whatsoever relating to our direction to close your Restaurant.

What This Means (2025 FDD)
According to Bonchon's 2025 Franchise Disclosure Document, franchisees must operate their Bonchon Restaurant in strict compliance with Bonchon's standards for speed, service, quality, cleanliness, and maintenance as detailed in their manuals. Bonchon may modify the Bonchon System and requirements, including products, services, standards, and even the Proprietary Marks. Franchisees must implement these system modifications as if they were part of the agreement at signing. Bonchon also reserves the right to vary standards or franchise agreement terms based on factors like the timing of the franchise grant, territory peculiarities, or business potential.
Bonchon franchisees must also staff their restaurants according to the specifications in Bonchon's manuals, maintaining a trained staff sufficient to meet the standards of quality and service expected by the public. Franchisees are responsible for ensuring employees maintain good customer relations and adhere to appearance and dress code standards. To keep management and employees up-to-date, franchisees must conduct in-house meetings and training sessions as specified by Bonchon or deemed necessary using their reasonable business judgment.
Failure to comply with these operational standards can lead to serious repercussions. Specifically, if a Bonchon franchisee fails to maintain and operate their restaurant in a good, clean, and sound manner, in strict compliance with Bonchon’s standards for speed, service, quality, cleanliness and maintenance as set forth in their Manuals or otherwise, it constitutes a breach of the franchise agreement. Bonchon can terminate the agreement if the franchisee repeatedly fails to comply with the requirements, whether or not the issues are corrected after notice. In extreme cases, if the operation of the restaurant jeopardizes public safety, Bonchon can direct the franchisee to immediately close the restaurant and may terminate the agreement upon notice.
