What is the purpose of the Yoobic Joinder Agreement for a Bonchon franchisee?

In January, 2022, we entered into a SaaS Service Agreement with Yoobic, Inc. ("Yoobic"). Pursuant to that agreement, Yoobic will supply software applications and related services to Bonchon Restaurants for the purpose of improving such Restaurant's customer visibility, in-store execution and efficiency. You are not required to pay for such software applications and related services, but you are required to sign a joinder agreement to the Yoobic SaaS Service Agreement (the "Yoobic
Joinder Agreement"). Under the Yoobic Joinder Agreement, you agree (as an end user of Yoobic's software applications) to comply with the terms for using the Yoobic platform and services as outlined in the SaaS Services Agreement. A copy of the Yoobic Joinder Agreement is attached as Exhibit H to this Disclosure Document.

What This Means (2025 FDD)
According to Bonchon's 2025 Franchise Disclosure Document, the Yoobic Joinder Agreement is required for franchisees to use software applications and related services provided by Yoobic, Inc. Bonchon entered into a SaaS Service Agreement with Yoobic in January 2022, to supply software that improves customer visibility, in-store execution, and efficiency for Bonchon restaurants.
The Yoobic Joinder Agreement requires the franchisee to comply with the terms for using the Yoobic platform and services as outlined in the SaaS Services Agreement. While franchisees are not required to pay for these software applications and services, they must sign the Yoobic Joinder Agreement to use them. By signing this agreement, the franchisee agrees to comply with all provisions of the SaaS Services Agreement regarding the use of the Yoobic platform and services for as long as they are a Bonchon franchisee. Bonchon is also authorized to make changes or modifications to the agreement on the franchisee's behalf without notifying the franchisee.
The franchisee takes sole responsibility for their actions while using the Yoobic platform, and Yoobic's recourse for any issues is against the franchisee, not Bonchon. Bonchon also has access to data regarding the franchisee's use of Yoobic's platform and services. A copy of the Yoobic Joinder Agreement is included as an exhibit to the disclosure document.
