What This Means (2025 FDD)
According to Bonchon's 2025 Franchise Disclosure Document, Bonchon is not required to act, manage, or remediate any Crisis Management Event. However, Bonchon retains the right to exercise its business judgment in such situations.
Bonchon may elect to control how a Crisis Management Event is handled, including communicating with third parties, temporarily suspending or closing restaurants, discontinuing services, and modifying policies. Franchisees and their employees must cooperate with Bonchon's efforts and adhere to any procedures Bonchon develops. Franchisees cannot reopen their restaurants or resume services without Bonchon's written consent.
If a non-system wide Crisis Management Event occurs at a franchisee's restaurant, the franchisee must immediately inform Bonchon. If Bonchon chooses to manage the event, it may engage professionals such as attorneys and public relations firms, and the franchisee may be required to reimburse Bonchon for these costs if the event arises from the franchisee's actions or relates solely to their restaurant. The franchisee's indemnification obligations also apply to losses resulting from Bonchon's management of the event. Bonchon assumes no liability for any losses arising from its actions or inactions during a Crisis Management Event.
