What This Means (2025 FDD)

According to Bonchon's 2025 Franchise Disclosure Document, if a franchisee wants to assign their Bonchon restaurant lease to a third party, they must obtain written consent from the lessor. This requirement is one of several conditions Bonchon imposes for approving such an assignment.

This means that even if Bonchon approves the assignment of the franchise agreement, the deal cannot proceed unless the landlord of the restaurant location also agrees to the transfer of the lease to the new franchisee. This gives the lessor significant control over who operates at their property. A prospective Bonchon franchisee should consider the relationship between the current franchisee and the lessor, as any existing issues could complicate the assignment process.

It is important to note that Bonchon also requires its own advance written approval for any lease. The franchisor may disapprove any lease not accompanied by a rider embracing all of the provisions of Exhibit C. Bonchon also states that the franchisee may not assign, transfer, or encumber their lease without advance written approval from Bonchon.
