You undertake to own and operate the Bonchon Businesses listed in Section 6.01 of this Agreement within the Development Territory set forth by map or written description in Exhibit A of this Agreement. If we use both a written description and a map to define your Development Territory, you acknowledge and expressly agree that should there be a conflict between the written description and the map, the written description will control.

What This Means (2025 FDD)
According to Bonchon's 2025 Franchise Disclosure Document, the definition of the Development Territory for an Area Development Agreement can be found in Exhibit A of the agreement. The territory is defined either by a map or a written description. If there is a conflict between the map and the written description, the written description will take precedence.
Bonchon, or its affiliates, will not operate or grant a franchise for a similar restaurant business within the Development Territory as long as the Area Development Agreement is in effect. However, this restriction is subject to the Trade Area Satisfaction Exception, which means that if the Development Territory includes multiple geographic trade areas, Bonchon's exclusivity in a specific trade area ends once the franchisee has developed the specified number of Bonchon Businesses in that area.
Outside the Development Territory, Bonchon reserves the right to operate or authorize others to operate Bonchon Businesses at any location. The franchisee's rights to the Development Territory do not grant any marketing exclusivity, and all Bonchon Businesses can solicit and offer services to anyone regardless of location, including within the Development Territory.
