What This Means (2025 FDD)

According to Bonchon's 2025 Franchise Disclosure Document, if you operate your Area Development business as a business entity, your governing documents must explicitly state that your activities are exclusively confined to the operation of your Area Development Business and your Bonchon Businesses. This requirement ensures that the business entity's sole focus remains on developing and operating Bonchon franchises within the designated area.

Bonchon also requires that all organizational documents of the business entity, such as partnership agreements or incorporation documents, must state that the sole purpose of the entity is to conduct franchised Bonchon businesses under the area development and/or franchise agreements. These documents must also include a clause that the Area Development Agreement takes precedence over any conflicting provisions in the entity's organizational documents. This "Supremacy of Area Development Agreement" clause ensures that the terms of the franchise agreement are always upheld.

These stipulations are designed to protect Bonchon's brand and ensure that Area Developers remain committed to growing the franchise system. By limiting the business entity's activities exclusively to Bonchon operations, Bonchon aims to prevent conflicts of interest and maintain the quality and consistency of its brand. Prospective franchisees should carefully review these requirements and ensure their business structure aligns with Bonchon's stipulations.
