Franchisor shall review the application for site approval; and, within fortyfive (45) days of Franchisor's receipt of the application, Franchisor shall approve the proposed site or reject the site with comments as to why it was rejected. Franchisor reserves the right to reject any site proposed by Developer if Developer or its affiliates (or any beneficial owner(s) of Developer or its affiliates): fail to demonstrate adequate financial resources and operational readiness to develop the site and operate the Restaurant, including adequate sources of capital; are not in good standing under this Agreement, any other agreements between Developer or its affiliates (or any beneficial owner(s) of Developer or its affiliates) and Franchisor or its affiliates; or fail to adhere to any manuals, policies and/or procedures implemented by Franchisor in connection with other agreements between Franchisor and Developer or its affiliates (or any beneficial owner(s) of Developer or its affiliates), including without limitation as related to operational standards.
