- 1. The provisions of this Addendum form an integral part of, and are incorporated into, the Renewal Franchise Agreement.
This Addendum is being executed because: (A) the offer or sale of a franchise to Franchisee was made in the State of Minnesota; (B) Franchisee is a resident of the State of Minnesota; and/or (C) the Restaurant will be located and/or operated in the State of Minnesota.

What This Means (2025 FDD)
According to Bojangles' 2025 Franchise Disclosure Document, the Addendum to the Bojangles Renewal Franchise Agreement is required for Minnesota franchisees and is executed simultaneously with the Renewal Franchise Agreement.
Specifically, this addendum is executed if any of the following conditions are met: (A) the offer or sale of a franchise to the franchisee was made in the State of Minnesota; (B) the franchisee is a resident of the State of Minnesota; or (C) the restaurant will be located and/or operated in the State of Minnesota.
The addendum modifies certain sections of the Renewal Franchise Agreement to ensure compliance with Minnesota law. For example, franchisees will not be required to agree to releases or waivers that would relieve any person from liability imposed by Minnesota statutes. Additionally, Bojangles will comply with Minnesota statutes regarding the protection of the franchisee's rights to use proprietary marks and the requirements for termination and non-renewal notices.
