What This Means (2025 FDD)
According to Bojangles's 2025 Franchise Disclosure Document, the Developer is required to indemnify and hold harmless Bojangles and its officers, directors, shareholders, members, and employees against claims arising directly or indirectly from the Developer's activities. This includes covering all costs, including attorney's fees, associated with defending against such claims.
This means that as a Bojangles Developer, you are financially responsible for any legal claims or judgments that arise from your business operations. This indemnification extends to Bojangles itself, as well as its leadership and staff. The scope of this responsibility is broad, covering claims that arise either directly or indirectly from your activities as a Developer.
For a prospective Bojangles franchisee, this highlights the importance of operating the business responsibly and in compliance with all applicable laws and regulations. It also underscores the need to maintain adequate insurance coverage to protect against potential liabilities. Franchisees should consult with legal and insurance professionals to fully understand the implications of this indemnification clause and to ensure they have sufficient protection in place.
