Regarding the Bojangles Franchise Agreement, is delivery of an executed signature page by electronic transmission (including platforms like DocuSign or scanned PDFs) considered effective delivery?

Bojangles Franchise · 2025 FDD

Answer from 2025 FDD Document

This Addendum may be executed in multiple counterparts, each of which when executed and delivered shall be deemed to be an original and all of which together shall constitute one and the same agreement. Delivery of an executed counterpart of a signature page to this Addendum by electronic transmission (including an electronic signature platform such as DocuSign or the transmission of a scanned PDF document) shall be effective as delivery of a manually executed counterpart of this Addendum.

What This Means (2025 FDD)

According to the 2025 Bojangles Franchise Disclosure Document, electronic transmission of signature pages is considered effective delivery for certain addenda to the franchise agreement. Specifically, the addenda to the Bojangles Express Franchise Agreement, the Bojangles Renewal Franchise Agreement, and the standard Bojangles Franchise Agreement each state that delivery of a signature page via electronic means is equivalent to manual delivery. This includes using electronic signature platforms like DocuSign or sending scanned PDF documents.

This provision simplifies the execution process for these agreements. Franchisees and Bojangles can exchange signed documents more quickly and efficiently, reducing administrative delays. This is particularly beneficial for franchisees located at a distance from the franchisor's headquarters, as it eliminates the need for physical mail or courier services.

However, it is important to note that this clause specifically applies to the addenda mentioned and not necessarily to the main franchise agreements themselves unless explicitly stated within those agreements. Franchisees should carefully review the terms of each agreement and addendum to understand the acceptable methods of delivery for all required documents.

While electronic signatures are becoming increasingly common and accepted in franchise agreements, franchisees should confirm with Bojangles that this method is acceptable for all documents, not just the addenda. It is also prudent to retain both electronic and hard copies of all signed agreements for their records.
