Regarding the Bojangles Franchise Agreement, how does the agreement treat delivery of a signature page by electronic transmission?

Bojangles Franchise · 2025 FDD

Answer from 2025 FDD Document

This Addendum may be executed in multiple counterparts, each of which when executed and delivered shall be deemed to be an original and all of which together shall constitute one and the same agreement. Delivery of an executed counterpart of a signature page to this Addendum by electronic transmission (including an electronic signature platform such as DocuSign or the transmission of a scanned PDF document) shall be effective as delivery of a manually executed counterpart of this Addendum.

What This Means (2025 FDD)

According to the 2025 Bojangles FDD, the standard Franchise Agreement does not address the delivery of a signature page by electronic transmission. However, the Addendum to the Franchise Agreement does address this issue.

The Addendum states that it can be executed in multiple counterparts, each considered an original when executed and delivered. The key provision is that delivering a signature page to the Addendum via electronic transmission is considered as effective as delivering a manually executed counterpart. Electronic transmission includes methods like electronic signature platforms such as DocuSign or sending a scanned PDF document.

For a prospective Bojangles franchisee, this means that the Addendum to the Franchise Agreement allows for the convenience of signing and delivering the agreement electronically, which is a common practice in modern business transactions. This can expedite the process of finalizing the agreement. However, this clause applies specifically to the Addendum and not the main Franchise Agreement itself. It is important to note that there are different versions of the addendum, one for the standard franchise agreement, one for the express franchise agreement, and one for the renewal franchise agreement, but all three contain the same language regarding electronic signatures.
