Answer from 2025 FDD Document

This Addendum may be executed in multiple counterparts, each of which when executed and delivered shall be deemed to be an original and all of which together shall constitute one and the same agreement. Delivery of an executed counterpart of a signature page to this Addendum by electronic transmission (including an electronic signature platform such as DocuSign or the transmission of a scanned PDF document) shall be effective as delivery of a manually executed counterpart of this Addendum.

What This Means (2025 FDD)

According to Bojangles's 2025 Franchise Disclosure Document, the addendum to the franchise agreement allows for electronic transmission of signature pages. Specifically, delivering a signature page via electronic means is considered as effective as delivering a manually executed, or hard copy, version. This applies to addenda for the Bojangles Express Franchise Agreement, the Bojangles Renewal Franchise Agreement, the Bojangles Franchise Agreement, and the Bojangles Individual Franchise Agreement. Methods of electronic transmission include using platforms like DocuSign or sending a scanned PDF document.

This provision simplifies and speeds up the execution process of the franchise agreement and its addendum. It removes the necessity for physical delivery of documents, which can be time-consuming and costly. Franchisees can sign and return documents from any location, provided they have access to the required technology. This is a common practice in modern franchising, as it streamlines administrative tasks and reduces delays.

For a prospective Bojangles franchisee, this means a more efficient agreement process. They can review, sign, and return the addendum electronically, potentially accelerating the timeline for opening their franchise. It is important for franchisees to ensure they have the necessary technology and are comfortable using electronic signature platforms to take advantage of this option. Franchisees should also confirm with Bojangles whether there are specific requirements or preferred platforms for electronic signatures.

It's important to note that this clause pertains specifically to the delivery of signature pages for the addendum and does not change any other requirements for document delivery unless otherwise stated in the franchise agreement. The rest of the agreement remains in full effect.
