What This Means (2025 FDD)
According to Bojangles's 2025 Franchise Disclosure Document, delivering a signature page to the addendum via electronic transmission is considered an effective delivery method. Specifically, the FDD states that using an electronic signature platform like DocuSign or transmitting a scanned PDF document is equivalent to delivering a manually executed counterpart of the addendum. This applies to various addenda within the franchise agreement, including the standard Franchise Agreement, the Express Franchise Agreement, and the Renewal Franchise Agreement.
This provision simplifies the execution process for Bojangles franchise agreements and their addenda. Franchisees and Bojangles can use electronic methods to finalize these documents, which can save time and resources compared to traditional mail or courier services. This is especially beneficial for franchisees who may be located far from Bojangles's headquarters or who prefer the convenience of digital document management.
The inclusion of specific examples like DocuSign and scanned PDFs provides clarity and assurance that these commonly used methods are acceptable. It also implies that other similar electronic signature platforms would likely be considered valid, offering flexibility in how the documents are executed. This clause ensures that all parties involved recognize and accept the validity of electronically transmitted signatures, streamlining the overall franchising process.
It is important to note that this provision applies specifically to the delivery of signature pages for the addenda to the franchise agreements. While electronic transmission is accepted for these pages, franchisees should confirm with Bojangles whether other documents or notices related to the franchise agreement can also be delivered electronically to ensure compliance with all requirements.
