What This Means (2025 FDD)

According to Bojangles's 2025 Franchise Disclosure Document, the chairman of a Designated Market Area (DMA) must provide members with at least ten days' notice for any annual or special meeting. This notice must be in writing and include the meeting's place, date, and time.

This requirement ensures that all DMA members have ample time to arrange their schedules and attend these important meetings, where decisions about advertising and other cooperative activities are made. The written format of the notice provides a clear record of the communication, reducing the potential for misunderstandings or disputes about whether proper notification was given.

However, the notice requirement can be waived under certain conditions. A written waiver signed by all DMA members, or by any member individually, nullifies the need for formal notice. Additionally, a member's presence at a meeting, either in person or through a proxy, is considered a waiver of the notice requirement, indicating their awareness and voluntary participation.

This flexibility allows the DMA to operate efficiently while still ensuring that members are informed and have the opportunity to participate in key decisions affecting their Bojangles franchise locations within the DMA.
