Securitization Transaction
What This Means (2025 FDD)
Based on the 2025 Franchise Disclosure Document, the excerpts provided do not contain information in Item 4 about any bankruptcy filings that would affect the trademarks. However, Item 1 discusses a "Securitization Transaction" involving Bojangles Issuer, LLC, Bojangles Guarantor, LLC, and Bojangles' International, LLC (BIL). As part of this transaction, the majority of franchise assets were transferred to the current franchisor, Bojangles OpCo, LLC, from BIL, along with assets from BRI and other affiliates related to company-operated restaurants and leases. BIL retained ownership of the international Proprietary Marks and continues to franchise three international Bojangles restaurants.
Item 22 and Item 23 define the Proprietary Marks as trade names, service marks, trademarks, logos, emblems, and indicia of origin, including but not limited to "BOJANGLES®", "BOJANGLES'®", and "BOJANGLES' FAMOUS CHICKEN 'N BISCUITS®". The franchisor continues to develop, use, and control these marks to identify the source of services and products and to represent the Bojangles System's standards. The franchisee's use of these marks does not grant them any ownership interest, and all goodwill associated with their use inures solely to the franchisor's benefit.
These excerpts highlight that while the trademarks are critical to the Bojangles franchise system, the franchisor retains significant control and rights over their use. A prospective franchisee should seek clarification from Bojangles regarding the details of the Securitization Transaction and how it might impact the stability and ownership of the Proprietary Marks, especially in relation to any potential liabilities or encumbrances assumed during the transaction. Specifically, they should inquire about any risks associated with the international Proprietary Marks owned by BIL and how those marks could affect the overall brand.
