What This Means (2025 FDD)
According to Bojangles's 2025 Franchise Disclosure Document, a franchisee is not always prohibited from discussing confidential information with other Bojangles franchisees. The FDD states that franchisees can discuss Confidential Information with other Bojangles franchisees and/or Bojangles vendors, provided those franchisees and/or vendors have also executed a confidentiality agreement with, or agreed to be bound by confidentiality clauses to, Bojangles. This indicates that while there are restrictions on sharing confidential information, these restrictions are lifted when the other party has a confidentiality agreement in place with Bojangles.
This condition is fairly standard in franchising, as franchisors need to protect their proprietary information while still allowing franchisees to collaborate and share best practices. The requirement for a confidentiality agreement ensures that all parties are legally bound to protect Bojangles's confidential information. This may involve having franchisees and vendors sign specific agreements or include confidentiality clauses in their existing contracts with Bojangles.
However, it is important to note that even with a confidentiality agreement in place, there may be limitations on what information can be shared. Franchisees should carefully review the terms of their franchise agreement and any confidentiality agreements to understand the scope of these restrictions. Additionally, franchisees should exercise caution when discussing confidential information, even with other franchisees or vendors who have signed confidentiality agreements, to avoid inadvertently disclosing information that is not covered by the agreement or that could harm Bojangles's business interests.
In summary, while Bojangles franchisees are generally required to keep confidential information secret, they are permitted to discuss it with other franchisees and vendors who have also agreed to maintain its confidentiality. This allows for collaboration and knowledge sharing within the Bojangles franchise system while still protecting Bojangles's proprietary information.
