What This Means (2025 FDD)

According to Bojangles's 2025 Franchise Disclosure Document, the franchise agreement explicitly states that the Confidential Information is the exclusive and confidential property of Bojangles or its affiliated parties. This information incorporates trade secrets and copyrights owned by them. This acknowledgement is a crucial part of the agreement, highlighting the importance Bojangles places on protecting its proprietary assets.

For a prospective franchisee, this means they are entering into an agreement where they recognize the value and sensitivity of the information they will receive. This includes operational methods, marketing strategies, and other business practices that give Bojangles a competitive edge. The franchisee is obligated to treat this information with utmost confidentiality and protect it from unauthorized disclosure.

The agreement further emphasizes that disclosing this confidential information could be detrimental to Bojangles's interests. This underscores the potential legal and financial repercussions a franchisee might face if they fail to safeguard this information. It also highlights that the confidential information is not generally known outside of Bojangles's personnel, reinforcing its exclusive nature.

This clause is standard in most franchise agreements, as franchisors need to protect their brand and operational methods. However, prospective Bojangles franchisees should carefully review the scope of the confidential information and ensure they have the resources and procedures in place to adequately protect it.
