In order to encourage the development of franchised Bojangles Restaurants by persons who are part of certain historically underrepresented groups, we have implemented a Development Incentive Program for Minorities, Women and Veterans (the "DIP Program"). To be eligible to participate in the DIP Program, you must meet the following conditions: (1) you must sign a Development Agreement no later than December 31, 2025 to develop and operate at least three Bojangles Restaurants; (2) you must sign a Development Incentive Program Addendum to your Development Agreement and Franchise Agreement (see Exhibit P-1); (3) Eligible Persons (as defined below) must hold at least 51% of your ownership interests; (4) you may not be participating in any other incentive programs that we offer; and (5) you and your affiliates must be in full compliance with any agreements you have entered into with us and/or our affiliates.
Under the DIP Program, we will: (1) reduce the franchise fee by 50% for the first two DIP Qualifying Restaurants (as defined below) that you develop under the Development Agreement;

What This Means (2025 FDD)
According to Bojangles's 2025 Franchise Disclosure Document, to be eligible for the Development Incentive Program for Minorities, Women and Veterans (DIP Program), you must sign a Development Agreement no later than December 31, 2025, to develop and operate at least three Bojangles restaurants. You must also sign a Development Incentive Program Addendum to your Development Agreement and Franchise Agreement.
To qualify, Eligible Persons (defined as individuals who are a URM, a woman, and/or a Veteran) must hold at least 51% of your ownership interests. You cannot participate in any other incentive programs offered by Bojangles, and you and your affiliates must be in full compliance with any existing agreements with Bojangles or its affiliates.
Under the DIP Program, Bojangles will reduce the franchise fee by 50% for the first two DIP Qualifying Restaurants that you develop under the Development Agreement. Additionally, Bojangles will reduce the royalty fee you pay for each DIP Qualifying Restaurant according to a schedule.
Bojangles may terminate your participation in the DIP Program if Eligible Persons no longer hold at least 51% of your ownership interests, or if you fail to comply with the Development Agreement, Franchise Agreement(s), or any other agreement with Bojangles or its affiliates. If participation is terminated, you must immediately pay the difference of any reduced franchise fee received and begin paying the standard royalty rate.
