What This Means (2025 FDD)

According to Bojangles's 2025 Franchise Disclosure Document, franchisees may be required to participate in regional cooperative advertising organizations or programs. These cooperatives are established to advertise and promote the Bojangles system. The specific contribution amount is determined by the cooperative itself, but cannot exceed 2% of a restaurant's gross sales without unanimous consent from the members, unless a franchisee agrees to a higher percentage when purchasing existing restaurants from a Bojangles affiliate.

Specifically, cooperative advertising contributions are due on or before the 15th day of the month immediately following the calendar month for which the contribution is being made. For example, the contribution for January's sales would be due by February 15th. Failure to make the required contributions within 10 days of the due date will result in the member losing their voting rights within the cooperative until the outstanding amount is paid.

Each cooperative is required to maintain records of all contributions and expenditures. While the agreement does not mandate audited financial statements, the availability of financial records is controlled by the voting membership of the cooperative. All funds contributed for cooperative advertising, to the extent used for local advertising, are considered an allowable local advertising expense and are prorated among the members based on their contributions, which counts toward fulfilling the franchisee's local advertising requirement under the Franchise Agreement.
