What This Means (2025 FDD)

According to the 2025 Body Brain Center Franchise Disclosure Document, if you are an employee, director, officer, member, partner, or independent contractor of a Body Brain Center franchisee, you are prohibited from unfairly competing with Body Brain Center by engaging in any "Prohibited Activities." This restriction is in place to protect Body Brain Center's intellectual property and the success of its franchise system.

The FDD defines "Competitive Business" as any business that offers brain-based education, Yoga, Taichi, or Qi-Gong, which is competitive with Body Brain Center, its affiliates, or its franchisees. The agreement specifies that you acknowledge that gaining knowledge of Body Brain Center's system and know-how could seriously jeopardize the franchise system if you were to unfairly compete with them. Therefore, compliance with the terms of the agreement is mandatory to avoid causing damage to Body Brain Center and its franchisees.

To further ensure compliance, Body Brain Center requires that all employees, officers, directors, partners, members, independent contractors, and other persons associated with the franchisee who may have access to Body Brain Center's know-how sign a Brand Protection Agreement. The franchisee is responsible for ensuring that these individuals comply with the terms of the Brand Protection Agreements and must immediately notify Body Brain Center of any breaches. The franchisee also agrees to reimburse Body Brain Center for all reasonable expenses incurred in enforcing a Brand Protection Agreement, including attorneys' fees and court costs.
