What This Means (2025 FDD)
According to Body Brain Center's 2025 Franchise Disclosure Document, a franchisee's ability to terminate the Software Service Agreement (SSA) is limited. The SSA term is one month and automatically renews for successive one-month periods until either party terminates the agreement.
A Body Brain Center franchisee can terminate the SSA only if BBYHC (presumably Body Brain Yoga Health Centers, Inc.) fails to correct a default. Termination is also possible if both the franchisee and BBYHC mutually agree to end the SSA.
However, it's important to note that even with the SSA terminated, the franchisee is still obligated under the Franchise Agreement to use the BRMNet software. This creates a potential conflict, as the franchisee may be required to use software under the Franchise Agreement even if the SSA governing its use is terminated. Either party can terminate upon 30 days’ notice but you are required by the Franchise Agreement to use the BRMNet software.
