What This Means (2025 FDD)

According to the 2025 Body & Brain Center Franchise Disclosure Document, the Franchise Agreement grants the Tenant/Franchisee the right to operate a Body & Brain franchised business at a specific premises. Simultaneously, the agreement imposes a duty on the Tenant/Franchisee to operate the Body & Brain franchised business at the defined location. This is according to an agreement between the Tenant/Franchisee and the Franchisor.

This arrangement is further supported by a lease agreement between the Landlord and the Tenant/Franchisee, which outlines the specific premises being leased. The Landlord grants certain rights to the Franchisor under the Lease to protect the Franchisor's interests under the Franchise Agreement. These rights include receiving copies of default notices sent to the Tenant/Franchisee and the right, but not the duty, to cure any default within 15 days following the expiration of any applicable cure period.

Additionally, the Franchisor has the right to commence occupancy of the premises and assign the lease to another Body & Brain franchisee or an entity owned or controlled by the Franchisor, subject to the Landlord's approval, which cannot be unreasonably withheld or delayed. The Tenant/Franchisee may also assign the Lease to the Franchisor at any time without the Landlord's prior consent. These provisions ensure that Body & Brain Center maintains control and oversight over the franchised business and its location, even in cases of default or transfer.
