What This Means (2025 FDD)
According to the 2025 Body & Brain Center FDD, franchisees are restricted from selling to members of other Body & Brain Center locations, including company-owned locations, without consent. Specifically, a franchisee "cannot sell to any person who is a current member of or has a customer agreement with another franchisee or company-owned Body & Brain business without the consent of the owner(s) of the business with whom the person is a member or customer."
This restriction means that a Body & Brain Center franchisee must obtain permission from the owner of another Body & Brain Center location (whether franchised or company-owned) before soliciting or selling to their members or customers. This policy aims to protect the customer base of existing Body & Brain Center locations and prevent franchisees from unfairly competing with each other or with company-owned centers.
This restriction is also mentioned in Item 23 under the definition of "Prohibited Activities", which includes "selling any Body & Brain products or services to any person who is a current member of or has a customer agreement with a franchisee (other than Franchisee) or company-owned Body & Brain outlet without the consent of the person with whom the person is a member or customer". This further emphasizes the importance of respecting the customer relationships of all Body & Brain Center locations, including those owned and operated by the company itself.
