"Parties."

WHEREAS, we are experienced in providing programs related to yoga, Tai-Chi, and other mind-body practices;

WHEREAS, you operate a business that has customers who may be interested in our programs; and

WHEREAS, you wish to introduce us to your customers in exchange of referral commissions, and we wish to enter into an arrangement to do so.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the adequacy and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows:

1. Definitions

  • (1) "Program" means our programs listed in Schedule A or developed after the Effective Date for which we will have determined to pay a referral commission.
  • (2) "Net-of-tax Payment" means a payment actually received by us for a Program excluding all state, local, or county sales taxes.

2. Program Referral and Commission

  • (1) You will promote us in your recruitment efforts with your active customers and from time to time introduce the Programs to your customers.
  • (2) If you refer a person to a Program, for each payment actually made for the Program, you will be entitled to a commission equal to the Net-of-tax Payment times the commission rate specified in Schedule A ("Commission").

What This Means (2025 FDD)

According to the 2025 Body Brain Center Franchise Disclosure Document, referral commissions are paid for programs developed after the Effective Date. The document states that a "Program" includes those listed in Schedule A or developed after the Effective Date, for which Body Brain Center has determined to pay a referral commission.

The commission rate for programs developed after the Effective Date will be determined by Body Brain Center. The referral partner is entitled to a commission equal to the Net-of-tax Payment times the commission rate specified in Schedule A. To be eligible for a commission, the person referred must have a valid membership with the referral partner and/or an agreement for a Program bearing the referral partner's signature or stamp.

Body Brain Center retains the right to change the Programs and commission rates, providing the referral partner with two weeks' written notice of any modifications or changes. This ensures that while referral commissions are possible for new programs, Body Brain Center maintains control over which programs qualify and at what rate.
