When must a Body Brain Center Owner who ceases to be an Owner stop using the Know-how?

According to Body Brain Center's 2025 Franchise Disclosure Document, the franchisee acknowledges that the Know-how is proprietary and is disclosed solely for use in the development and operation of their business during the term of the agreement. This means that the franchisee's right to use the Know-how is directly tied to the duration of the Franchise Agreement. Once the agreement expires or is terminated, the franchisee's right to use the Know-how ceases.

The FDD emphasizes that the Know-how remains the property of Body Brain Center and is considered a trade secret. Franchisees must agree not to use the Know-how in any business or capacity other than the operation of a Body & Brain Center under the Franchise Agreement. They are also obligated to maintain the confidentiality of the Know-how and prevent its unauthorized use or disclosure.

This has significant implications for a franchisee who leaves the Body Brain Center system. Upon termination or expiration of the franchise agreement, the former franchisee must immediately cease using the Know-how. This includes refraining from using the methods, techniques, procedures, marketing strategies, and other proprietary information that constitute the Body Brain Center system in any new business venture or activity. Failure to comply with these restrictions could result in legal action by Body Brain Center to protect its intellectual property.
