We hereby grant you a license to own and operate a Body & Brain Center (your "Business" or your "Center") using our Intellectual Property from a single location that we approve in writing. We reserve all rights not expressly granted to you under this Agreement.
- 3. TERRITORIAL RIGHTS AND LIMITATIONS. Once we have approved the site for your Center, we will grant you a protected territory that will be identified on Part C of Attachment "B" (your "Territory"). Your Territory will include a minimum population of 70,000. We will not operate, or grant a franchise to a third party to operate, a Body & Brain Center or a Dahn Yoga Center that is physically located within your Territory during the Term, except as otherwise provided in this Section with respect to Captive Venues and Alternative Channels of Distribution. We reserve the right to: (i) operate Body & Brain Centers, or grant franchises or licenses to third parties to operate Body & Brain Centers, in Captive Venues that are located in your Territory; and (ii) sell competitive or identical goods or services (including under the Marks), or grant franchises or licenses to third parties to sell those goods or services (including, without limitation, Body & Brain home-based franchises), through Alternative Channels of Distribution, irrespective of whether the sales take place in your Territory.

What This Means (2025 FDD)
According to the 2025 Body Brain Center Franchise Disclosure Document, franchisees are granted a license to operate a Body & Brain Center, referred to as their "Business" or "Center," utilizing Body Brain Center's intellectual property from a single, approved location. The Body Brain Center system is defined as a unique operation characterized by its logo, trade secrets, concept, proprietary programs and products, confidential operations manuals, marketing techniques and strategies, the Solar Body Method of systemized training, a coaching system with media content and merchandise, and its operating system.
Body Brain Center provides franchisees with a protected territory, which will be identified on Part C of Attachment "B", with a minimum population of 70,000. Within this territory, Body Brain Center will not operate or franchise another Body & Brain Center or Dahn Yoga Center, with some exceptions. Body Brain Center retains the right to operate or franchise Body & Brain Centers in Captive Venues (such as military bases or universities) within the franchisee's territory and to sell goods/services through Alternative Channels of Distribution (like home-based franchises), even if these sales occur within the franchisee's territory.
Franchisees must adhere to the standards and requirements outlined in the confidential operations manual provided by Body Brain Center. This manual contains proprietary information that must be kept confidential. Franchisees are responsible for hiring, training, and supervising their own employees, ensuring they comply with the manual and operational standards. Franchisees must also ensure employees do not copy or retain the manual. Body Brain Center does not control the franchisee's hiring, firing, or day-to-day employee activities.
Body Brain Center may develop private label products for franchisees to sell, but franchisees are not required to do so. Franchisees also benefit from Body Brain Center's marketing assistance, including the administration of an advertising fund and maintenance of a corporate website and intranet for operational support. Franchisees are expected to follow Body Brain Center's guidance and recommendations for improving their center's marketing and operations based on periodic inspections and reports.
