What This Means (2025 FDD)
According to the 2025 Body Brain Center Franchise Disclosure Document, the agreement specifies geographic scopes related to site selection, territory, and post-term competition.
The Site Selection Area, as detailed in Attachment B, is where the franchisee must locate their Body Brain Center, subject to Body Brain Center's approval. This area is not a protected territory. Once the site is approved, Body Brain Center grants a protected Territory, detailed in Part C of Attachment B, which includes a minimum population of 70,000. Within this Territory, Body Brain Center will not operate or franchise another Body & Brain Center or Dahn Yoga Center, with exceptions for Captive Venues and Alternative Channels of Distribution.
The agreement also addresses unfair competition after the franchise relationship ends. Franchisees are prohibited from engaging in any competitive business within a 15-mile radius of their Body Brain Center for a period of two years after completing the training program. This geographic restriction is tied to the enforcement of non-compete clauses, which the franchisee acknowledges as reasonable.
Overall, the Body Brain Center franchise agreement defines geographic scope in terms of site selection, protected territory, and post-term non-compete obligations, each serving a different purpose in managing the franchise relationship and protecting Body Brain Center's interests.
