What This Means (2025 FDD)

According to the 2025 Body Brain Center Franchise Disclosure Document, if the franchise is terminated or expires, the franchisee is restricted from involvement in a competing business for a period of 2 years. This non-compete restriction extends to within 15 miles of any Body & Brain Center or Dahn Yoga Center. Additionally, the franchisee must comply with non-solicitation and non-disclosure covenants and cease using the Body Brain Center's know-how and trade secrets.

This non-compete clause is fairly standard in the franchise industry. The geographic restriction of 15 miles aims to protect Body Brain Center's existing market and customer base. The duration of 2 years is intended to prevent a former franchisee from immediately leveraging the franchisor's confidential information and business model to compete against the system.

It is important for prospective franchisees to fully understand the scope and limitations of the non-compete agreement before investing in a Body Brain Center franchise. Franchisees should consider how this restriction might impact their future career options if they decide to leave the system. They should also evaluate the density of Body Brain Center and Dahn Yoga Center locations in their area, as this will determine the practical extent of the geographic restriction.

Furthermore, the FDD states that if you sign a Training Agreement but do not sign a Franchise Agreement, you will be subject to similar obligations under Section 5 of the Training Agreement. This means that even if you don't proceed with opening a franchise, you may still be bound by certain restrictions if you receive training from Body Brain Center.
