What is the Body Brain Center franchisee's obligation regarding disclosing improvements to others?

If you conceive of or develop any improvements or additions to the services or products offered by, or the method of operation of, a Body & Brain Center or Body & Brain home-based franchise, or any advertising or promotional ideas related to such business (collectively, "Improvements"), you agree to promptly and fully disclose the Improvements to us without disclosing the Improvements to others.
You must obtain our approval prior to using any such Improvements.
Any such Improvement approved by us may be used by us and any third parties that we authorize to operate a Body & Brain franchise, without any obligation to you royalties or other fees.
You must assign to us or our designees, without charge, all rights to any such Improvement, including the right to grant sublicenses.
In return, we will authorize you to use any Improvements that we or other franchisees develop that we authorize for general use in connection with the operation of a Body & Brain business.

What This Means (2025 FDD)
According to the 2025 Body Brain Center Franchise Disclosure Document, franchisees are required to promptly and fully disclose any improvements or additions they conceive or develop related to the services, products, method of operation, or advertising/promotional ideas of a Body & Brain Center or home-based franchise. This disclosure must be made to Body Brain Center without disclosing the improvements to others.
Before using any such improvements, a franchisee must obtain approval from Body Brain Center. If Body Brain Center approves the improvement, it may be used by Body Brain Center and any third parties they authorize to operate a Body & Brain franchise. The franchisee will not be entitled to royalties or other fees for the use of the improvement. The franchisee must assign all rights to the improvement to Body Brain Center or their designees, without charge, including the right to grant sublicenses.
In return, Body Brain Center will authorize the franchisee to use any improvements that Body Brain Center or other franchisees develop that Body Brain Center authorizes for general use in connection with the operation of a Body & Brain business. This clause ensures that any advancements or innovations made within the franchise system are shared with the franchisor and potentially across the network, while the franchisee who developed the improvement may not receive direct compensation, they gain access to other improvements developed within the system.
