rules of the membership program that we specify in the Manual from time to time.

We previously offered a "Platinum Membership" program for Body & Brain Center customers that allowed customers to receive certain benefits and price discounts at all participating franchised locations. Membership also allowed the customer to attend classes at any Body & Brain Center and any Dahn Yoga Center they chose. Dahn Yoga previously offered a "Gold Membership" program that provided similar reciprocal benefits. Under the Platinum Membership and Gold Membership programs, the member paid the Body & Brain Center franchisee or Dahn Yoga Center (as applicable) an initial fee that covered the cost of their training for 1 year. What This Means (2025 FDD)

According to the 2025 Body Brain Center Franchise Disclosure Document, franchisees are required to participate in the Platinum or Gold membership program. Although Body & Brain Center no longer offers new Platinum or Gold memberships, franchisees must still comply with the program rules and procedures for customers who maintain their existing memberships. These programs previously allowed members to receive benefits and discounts at participating locations, including access to classes at any Body & Brain Center or Dahn Yoga Center.

Under the Platinum and Gold membership programs, members paid an initial fee to a Body & Brain Center franchisee or Dahn Yoga Center, covering training costs for one year. After the initial year, members could continue their membership by paying a $10 monthly fee until cancellation. If a member primarily trains at a center different from where they initially purchased the membership, the new center may be entitled to the ongoing monthly fees and any remaining balance of the initial membership fee.

This requirement ensures that Body & Brain Center franchisees must honor the terms of existing Platinum and Gold memberships, even though new memberships are no longer being offered. This could impact a franchisee's revenue, as they may be required to provide services to members who initially paid another location. Franchisees should understand the rules and procedures of these programs to properly manage member transitions and fee allocations.
