Does a Body Brain Center franchisee acquire any ownership interest in the Know-how?

According to Body Brain Center's 2025 Franchise Disclosure Document, franchisees do not acquire any ownership interest in the Know-how. The Know-how, which includes trade secrets and proprietary information related to the operation of a Body & Brain Center, remains the property of Body Brain Center, LLC. Franchisees are only granted the right to utilize the Know-how in accordance with the terms and conditions of the Franchise Agreement for the development and operation of their Body & Brain Center.

This means that while franchisees receive access to Body Brain Center's methods, techniques, specifications, procedures, marketing strategies, and the System's information, they cannot claim ownership over any of these elements. The franchisee's right to use the Know-how is strictly limited to the scope defined in the Franchise Agreement. Any unauthorized use of the Know-how could be a breach of contract.

This arrangement is typical in franchising, where the franchisor retains ownership of intellectual property to maintain consistency and protect the brand. Body Brain Center retains the right to modify the Know-how at any time, and franchisees must comply with any instructions from Body Brain Center regarding changes to the Know-how.
