What This Means (2025 FDD)
According to Body Brain Center's 2025 Franchise Disclosure Document, definitions for capitalized terms within the Franchise Agreement can be found either within the main body of the agreement itself or in Attachment "A". Attachment "A" specifically lists the sections of the agreement where terms defined in the body can be located. This structure helps franchisees quickly reference the meaning of specific terms used throughout the document.
Attachment A to the Body & Brain Franchise Agreement provides an alphabetical list of defined terms, along with the section in the main agreement where that term is formally defined. For example, the definition of "Account" can be found in Section 13.5, "Acquired Assets" in Section 21.2(a), and "Agreement" in the Introductory Paragraph of the Franchise Agreement. Similarly, terms like "Alternative Channels of Distribution", "Appraisal Date", "Appraised Value", "Body & Brain Center", "Brand Protection Agreement", and "Business" are all defined, with references to their corresponding sections.
Prospective Body Brain Center franchisees should consult both the main agreement and Attachment A to fully understand their contractual obligations and rights. Paying close attention to these definitions is crucial, as misinterpretations can lead to misunderstandings about operational requirements, territorial rights, and other key aspects of the franchise relationship. The definitions provided in Attachment "A" and the body of the agreement serve as a comprehensive guide to understanding the terminology used in the Franchise Agreement.
