What This Means (2025 FDD)
According to Body Brain Center's 2025 Franchise Disclosure Document, the company's failure to insist on exact compliance by a franchisee does not constitute a waiver of its rights. Body Brain Center retains the right to demand strict adherence to all terms and conditions outlined in the franchise agreement.
Specifically, the agreement states that Body Brain Center is not deemed to have waived or impaired any right, power, or option, including the right to demand exact compliance with every term, condition, and covenant. This protection extends to various scenarios, such as any custom or practice that deviates from the agreement's terms, any failure or neglect by Body Brain Center to exercise its rights, any waiver or delay in exercising rights concerning other franchisees, or the acceptance of payments after a breach of the agreement.
This clause protects Body Brain Center from inadvertently losing its rights due to leniency or inconsistent enforcement. It allows Body Brain Center to maintain flexibility in its dealings with franchisees without setting a precedent that weakens its contractual rights. For a franchisee, this means they cannot rely on past instances of non-enforcement as a justification for future non-compliance; Body Brain Center can, at any time, insist on strict adherence to the franchise agreement.
This type of 'no waiver' clause is common in franchise agreements to protect the franchisor's interests and ensure consistent brand standards across all franchise locations. Prospective franchisees should understand that the terms of the franchise agreement are always in effect, regardless of whether Body Brain Center has strictly enforced them in the past.
