Answer from 2025 FDD Document

The term of this Agreement (the "Term") will begin on the Effective Date and expire five (5) years thereafter. If this Agreement is the initial franchise agreement for your Center, you may enter into successor Body & Brain Center franchise agreements as long as you meet the conditions for renewal specified below. Each successor franchise agreement shall be the current form of franchise agreement that we use in granting Body & Brain franchises as of the expiration of the Term or renewal term, as applicable. The terms and conditions of the successor franchise agreement (including financial and territorial terms) may vary materially and substantially from the terms and conditions of this Agreement. Each renewal term will be for either three (3) or five (5) years, at your option. The maximum total term (including initial term and all renewal terms) shall be 15 years. You will have no further right to operate your Center following the expiration of the 15th year unless we grant you another franchise in our sole discretion. If this Agreement is a successor franchise agreement, the renewal provisions in your original franchise agreement will govern your remaining renewal rights, if any.

What This Means (2025 FDD)

According to Body Brain Center's 2025 Franchise Disclosure Document, the terms and conditions of successor franchise agreements, including financial and territorial terms, may vary materially and substantially from the terms and conditions of the original agreement. This means that when a franchisee renews their agreement, Body Brain Center has the right to change various aspects of the franchise terms.

Specifically, Body Brain Center may modify financial terms, which could include changes to royalty fees, advertising fees, or other required payments. Additionally, the franchisor may alter the territorial rights granted to the franchisee in the new agreement. This could mean the protected territory is reduced, or that Body Brain Center reserves more rights to operate or franchise other locations within the franchisee's territory through captive venues or alternative channels of distribution.

Furthermore, the successor franchise agreement will be the current form that Body Brain Center uses when granting franchises at the time of renewal. This implies that any new policies, standards, or requirements that Body Brain Center has implemented in its franchise system will be incorporated into the renewed agreement. The initial term of the agreement will begin on the effective date and expire five years thereafter. Each renewal term will be for either three or five years, at the franchisee's option, with a maximum total term of 15 years.

Prospective franchisees should be aware that while they may have the option to renew their franchise agreement, the terms of that renewal are subject to change and could significantly impact their business operations and profitability. It is important to carefully review the current franchise agreement and any proposed successor agreements to understand the potential implications of these changes.
