How does Body Brain Center determine if a contract contains a lease?

Body_Brain_Center Franchise · 2025 FDD

Answer from 2025 FDD Document

If you will lease the premises for your Center, you must use your best efforts to ensure your landlord signs the Lease Addendum that is attached to this Agreement as Attachment "C".

If your landlord refuses to sign the Lease Addendum in substantially the form attached to this Agreement, we have the right to disapprove of your lease in our commercially reasonable judgment, in which case you must find a new site for your Center.

What This Means (2025 FDD)

Based on the 2025 Franchise Disclosure Document, Body Brain Center requires franchisees to locate and secure premises for their Body & Brain Center, subject to the franchisor's approval. If the franchisee chooses to lease the premises, Body Brain Center requires the landlord to sign a Lease Addendum, which is included as Attachment "C" to the Franchise Agreement. If the landlord refuses to sign the Lease Addendum in substantially the form provided, Body Brain Center reserves the right to disapprove the lease.

According to the FDD, the Lease Addendum is a critical component in determining whether a contract is considered a lease. The presence and acceptance of this addendum by the landlord signifies that the agreement is indeed a lease. Without the landlord's agreement to the Lease Addendum, Body Brain Center may disapprove the site, potentially forcing the franchisee to find an alternative location. This ensures that the lease agreement aligns with Body Brain Center's standards and protects its interests.

Attachment B outlines the site selection area and requires franchisee to submit a site report with demographic, commercial, and other information, including photographs and video tapes. Body Brain Center has the right to accept or reject proposed sites based on their commercially reasonable judgment. The approval of the site by Body Brain Center does not constitute a warranty of the site's suitability but indicates that the site meets the minimum criteria. The site approval will be indicated on Part B of Attachment "B", which both the franchisee and Body Brain Center will sign upon site approval.

In summary, Body Brain Center uses the Lease Addendum as a key determinant in identifying a lease agreement. The franchisor's approval process, including the Lease Addendum, ensures that the franchisee's location aligns with the brand's standards and protects the interests of Body Brain Center. Prospective franchisees should carefully review Attachment C and understand the implications of the Lease Addendum during their site selection process.
