What is Body Brain Center's definition of a 'Captive Venue'?

We reserve the right to operate Body & Brain Centers, or license others to operate Body & Brain Centers, in Captive Venues. A "Captive Venue" means a non-traditional outlet for the sale of Body & Brain products or services that is located within, or is a part of, another establishment or facility that consumers may visit for a purpose other than purchasing the Body & Brain products or services. Examples of Captive Venues include outlets for Body & Brain products or services that are located in hotels, college campuses or universities, airports, train stations or within other similar types of establishments. Captive Venues are excluded from your protected territorial rights. This means that we may operate or license a third party to
operate a Body & Brain Center in a Captive Venue located anywhere within your territory. You are not entitled to any compensation for sales that take place from Captive Venues within your territory.

What This Means (2025 FDD)
According to Body Brain Center's 2025 Franchise Disclosure Document, a 'Captive Venue' is defined as a non-traditional location where Body & Brain products or services are sold. These venues are situated within or are part of another establishment that customers visit for reasons other than specifically purchasing Body & Brain's offerings.
Examples of Captive Venues provided in the FDD include outlets located in hotels, college campuses or universities, airports, train stations, or similar establishments. Body Brain Center retains the right to operate or license others to operate Body & Brain Centers in these Captive Venues, even if they are located within a franchisee's protected territory.
This means that a Body Brain Center franchisee's protected territory does not extend to Captive Venues. Body Brain Center can establish or authorize another party to establish a Body & Brain Center within a franchisee's territory if it is in a Captive Venue. The franchisee is not entitled to any compensation for sales that occur in Captive Venues within their territory. This is a significant limitation on the territorial rights granted to Body Brain Center franchisees and something a prospective franchisee should carefully consider.
