By reading this disclosure document, you are not agreeing to, acknowledging, or making any representations whatsoever to the Franchisor and its affiliates.
Illinois law governs the Franchise Agreement.
In conformance with Section 4 of the Illinois Franchise Disclosure Act, any provision in a franchise agreement that designates jurisdiction and venue in a forum outside of the State of Illinois is void. However, a franchise agreement may provide for arbitration to take place outside of Illinois.
Your rights upon Termination and Non-Renewal of an agreement are set forth in sections 19 and 20 of the Illinois Franchise Disclosure Act.
In conformance with section 41 of the Illinois Franchise Disclosure Act, any condition, stipulation or provision purporting to bind any person acquiring any franchise to waive compliance with the Illinois Franchise Disclosure Act or any other law of Illinois is void.
No statement, questionnaire or acknowledgement signed or agreed to by a franchisee in connection with the commencement of the franchise relationship shall have the effect of: (i) waiving any claims under any applicable state franchise law, including fraud in the inducement, or (ii) disclaiming reliance on behalf of the Franchisor. This provision supersedes any other term of any document executed in connection with the franchise.

What This Means (2025 FDD)
The 2025 Body Brain Center Franchise Disclosure Document includes an exhibit for a State Addendum. Specifically, Exhibit I pertains to an Illinois Addendum. The document does not include a specific addendum or reference to the state of Minnesota. Because franchise laws vary significantly by state, the absence of a Minnesota-specific addendum in the FDD raises questions about the brand's registration and compliance status in that state.
Without specific information about Minnesota, it's unclear whether the standard terms and conditions of the Body Brain Center franchise agreement are fully enforceable in Minnesota. State addenda often address specific legal requirements, limitations, or disclosures that are unique to a particular state's franchise laws. The Illinois addendum, for example, clarifies that Illinois law governs the franchise agreement and voids any provisions that designate jurisdiction and venue outside of Illinois.
A prospective Body Brain Center franchisee in Minnesota should independently verify with the franchisor whether the franchise is properly registered or exempt in Minnesota. They should also consult with a franchise attorney in Minnesota to understand how Minnesota franchise laws might affect their rights and obligations under the franchise agreement. This due diligence is crucial to ensure full compliance and to protect their investment.
Inquiring directly with Body Brain Center about the FDD's effectiveness and registration status in Minnesota is essential. Requesting written confirmation of compliance and understanding any state-specific modifications to the franchise agreement will help a potential franchisee make an informed decision.
