What is the consideration for the training provided to me by Body Brain Center if I do not sign the Franchise Agreement?

If either (i) you fail to sign the Franchise Agreement on or prior to the expiration of the Franchise Evaluation Period or (ii) you fail to successfully complete the training program, we shall have no obligation to offer you a franchise and we may keep the training fee in consideration of the training we provided to you.
Further, if you do not sign the Franchise Agreement or you fail to successfully complete the training program, you understand that you must still comply with all of the terms of this Agreement.

What This Means (2025 FDD)
According to the 2025 Body Brain Center Franchise Disclosure Document, if you attend the initial training program but do not sign the Franchise Agreement within the Franchise Evaluation Period, Body Brain Center is entitled to retain the $10,000 training fee as consideration for the training they provided. The Franchise Evaluation Period lasts for 180 days after completion of the training program.
This means that while you get the benefit of the training, Body Brain Center keeps the training fee to compensate for the knowledge and skills you gained. This is a non-refundable fee under these circumstances. You also must comply with all terms of the agreement even if you do not sign the Franchise Agreement.
Additionally, even if you do not sign a Franchise Agreement, you must still comply with the covenants to protect Body Brain Center's intellectual property. This includes maintaining the confidentiality of the Know-how disclosed during training and refraining from unfair competition for a period of two years after completing the training program within a 15-mile radius of any Body & Brain Center or Dahn Yoga Center. You are also prohibited from soliciting Body Brain Center's franchisees or customers for two years after training.
