What This Means (2025 FDD)
According to Body Brain Center's 2025 Franchise Disclosure Document, franchisees and owners acknowledge that failure to comply with brand protection covenants outlined in Section 14 of the franchise agreement will cause substantial and irreparable damage to Body Brain Center and its other franchisees. The document states that there is no adequate remedy at law for such a breach. This highlights the critical importance Body Brain Center places on protecting its brand and intellectual property.
Furthermore, the Franchise Agreement specifies that breaching any of the brand protection covenants described in Section 14 is grounds for termination of the agreement. This underscores the seriousness with which Body Brain Center views these covenants and the potential ramifications for franchisees who fail to uphold them.
Additionally, the document indicates that Body Brain Center franchisees and owners waive any right to challenge the terms of Section 14, acknowledging that these terms are reasonable and enforceable. This waiver reinforces the franchisee's commitment to adhering to the brand protection covenants and limits their ability to contest enforcement actions taken by Body Brain Center in the event of a breach.
