TO BODY & BRAIN FRANCHISE AGREEMENT

DEFINITIONS

  • "Account" is defined in Section 13.5.
  • "Acquired Assets" is defined in Section 21.2(a).
  • "Advertising Campaign" is defined in Section 9.1(a).
  • "Agencies" is defined in Section 21.1(x).
  • "Agreement" is defined in the Introductory Paragraph.
  • "Alternative Channels of Distribution" means all channels of distribution other than retail sales made to customers while physically present in a Body & Brain Center, including, but not limited to: (i) sales over the Internet or through catalogs; (ii) sales through stores selling health or healing products (other than Body & Brain Centers operating under the Marks); and (iii) on-site sales to groups at a business (i.e., worksite classes) or customers at their homes (including sales made by Body & Brain home-based franchisees).
  • "Appraisal Date" is defined in Section 21.2(a).
  • "Appraised Value" is defined in Section 21.2(d).

What This Means (2025 FDD)

According to the 2025 Body Brain Center Franchise Disclosure Document, Attachment A to the franchise agreement is a list of definitions for capitalized terms used within the agreement. Attachment A lists the sections of the agreement in which those terms are defined.

For example, Attachment A defines terms such as "Account," which is defined in Section 13.5 of the agreement, "Acquired Assets," defined in Section 21.2(a), and "Advertising Campaign," which is defined in Section 9.1(a). It also defines "Agreement" as referenced in the introductory paragraph of the franchise agreement.

The term "Body & Brain Center" is defined as a retail-based center focused on offering physical aspects of holistic health services, primarily in group class settings, using Body & Brain's intellectual property. Finally, Attachment A defines "Brand Protection Agreement" as the most current form of the agreement, which is attached as Attachment "E".
