What This Means (2025 FDD)
According to the 2025 Body20 Franchise Disclosure Document, the Washington Addendum modifies the Franchise Agreement and all related agreements. This modification applies if the offer to sell a Body20 franchise is accepted in Washington, if the purchaser of the franchise is a resident of Washington, or if the franchised business is to be located or operated in Washington.
Specifically, the addendum addresses several key areas. It modifies any indemnification provisions, ensuring franchisees are not obligated to indemnify Body20 for losses caused by Body20's negligence, misconduct, or fraud. It also clarifies that franchisees are only required to reimburse Body20 for legal costs if Body20 prevails in legal proceedings.
Furthermore, the Washington Addendum addresses noncompetition and nonsolicitation agreements, aligning them with Washington state law. It voids any provisions conflicting with state regulations regarding employee earnings and restrictions on soliciting or hiring employees of other franchisees or the franchisor. The addendum also ensures that franchisees cannot waive claims under state franchise law or disclaim reliance on statements made by Body20 during the franchise commencement.
