What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, Body20 has the right to modify the System's Intellectual Property, including the manuals and policies. Specifically, Body20 can change, discontinue, or substitute any of the Intellectual Property and adopt entirely different or new Intellectual Property for use with the System without any liability to the franchisee, in its sole discretion.
This means that Body20 franchisees must adapt to changes Body20 makes to its System Standards. These System Standards are detailed in the operations manuals and other written materials. These standards encompass various aspects of the Body20 business, including studio design, equipment specifications, vendor relationships, software, online booking, training sessions, and marketing techniques.
As a Body20 franchisee, you are obligated to implement any changes to the Intellectual Property at your own expense within a reasonable timeframe specified by Body20. Franchisees are also prohibited from contesting Body20's rights to the Intellectual Property. This includes the Marks, Trade Dress, Copyrights, and any trade secrets, methods, or procedures that are part of the Body20 system.
This clause highlights the importance of maintaining a strong relationship with the franchisor and staying informed about any updates or modifications to the Body20 system. While Body20 must provide reasonable notice, the financial burden of implementing these changes falls on the franchisee, which could impact profitability.
