What This Means (2025 FDD)

According to Body20's 2025 Franchise Disclosure Document, franchisees must acknowledge that they are not relying on any representations or warranties from Body20 or its representatives that are not expressly stated in the Franchise Agreement and the FDD. This means that any promises, commitments, or assurances made outside of these official documents should not be considered binding.

Body20 emphasizes that, except as stated in the FDD, neither Body20 nor its representatives have made any representations regarding the historical or anticipated financial performance of any Body20 studio. Any financial information acquired from other franchisees is not endorsed or guaranteed by Body20. This is a standard practice in franchising, as franchisors typically avoid making specific financial projections to potential franchisees, due to the numerous factors that can influence a studio's financial success.

However, the FDD includes a provision that applies specifically to franchisees and studios subject to franchise disclosure laws in California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, or Wisconsin. For these franchisees, no signed statement or acknowledgement can waive claims under applicable state franchise law, including claims related to fraud in the inducement, or disclaim reliance on statements made by Body20 or its representatives. This provision supersedes any other conflicting terms in any document related to the franchise agreement, offering additional protection to franchisees in these states.

Before signing the Franchise Agreement, prospective franchisees may be asked to complete a questionnaire to confirm their understanding of the agreement's terms and to verify that no unauthorized statements or promises have been made. However, this questionnaire does not apply if the franchise is subject to the state franchise disclosure laws in California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, or Wisconsin.
