Who is solely responsible for decisions related to the day-to-day operation of the Body20 studio?

Subject to your obligation to comply with System Standards and this Agreement, you acknowledge that you are solely responsible for (i) decisions related to the day-to-day operation of the Studio (including managing and controlling maintenance, safety, security, employment matters, and legal compliance), (ii) taking any actions you deem necessary to achieve your business objectives, (iii) all obligations and liabilities of, and for all loss or damage to, the Studio and your business, including any personal property or real property, and (iv) all claims or demands based on damage or destruction of property or based on injury, illness or death of any person or persons, directly or indirectly, resulting from the operation of the Studio.
Our retention and exercise of the right to inspect or approve certain matters with respect to the Studio and its operation and to enforce our rights exists only to the extent required to protect our interest in the System and the Marks.
Neither the retention nor the exercise of such rights is for the purpose of establishing any control, or the duty to take control, of any matters which are clearly reserved to you, nor shall they be construed to do so.
We shall not be construed to be jointly liable for any of your acts or omissions under any circumstances.

What This Means (2025 FDD)
According to Body20's 2025 Franchise Disclosure Document, the franchisee is solely responsible for decisions related to the day-to-day operations of their Body20 studio. This includes managing and controlling aspects such as maintenance, safety, security, employment matters, and legal compliance. This responsibility is subject to the franchisee's obligation to comply with Body20's System Standards and the Franchise Agreement.
This means that while Body20 provides the brand, system, and support, the franchisee has autonomy in managing the studio's daily activities. The franchisee is also responsible for taking actions they deem necessary to achieve their business objectives, as well as all obligations, liabilities, losses, or damages to the studio and their business. They are also responsible for all claims or demands based on damage or destruction of property or based on injury, illness or death of any person or persons, directly or indirectly, resulting from the operation of the Studio.
Body20 retains the right to inspect and approve certain matters related to the studio to protect its interest in the System and the Marks. However, the exercise of such rights is not for the purpose of establishing control over matters clearly reserved to the franchisee. Body20 will not be held jointly liable for any of the franchisee's acts or omissions under any circumstances. This reinforces the independent contractor relationship between Body20 and the franchisee, where the franchisee is responsible for the studio's operations while adhering to the franchisor's standards and agreement terms.
